Service Terms and Conditions

General Terms and Conditions for use of Services provided by Wisdom Ejuetami Designs. The Service Terms and Conditions outlined are designed to protect the interests of Clients and Wisdom Ejuetami Designs alike to make it easier to work together successfully. Clients must consent to these Service Terms and Conditions before Wisdom Ejuetami Designs provides any services for them.

Contracts

All projects are to be completed according to the terms of a written Statement of Work and Service Level Agreement Contract signed by both the Client and Wisdom Ejuetami Designs before any work begins for the project. This is to help ensure that both parties understand and are in agreement about the project scope, terms and responsibilities both parties must fulfil for the project to be successful and prevent any issues from lack of clarity about these things after the project starts. Wisdom Ejuetami Designs will draft the Statement of Work and Service Level Agreement Contract for clients to review, negotiate and sign based on the project requirements before the project starts

Payments

Wisdom Ejuetami Designs will invoice for an upfront deposit appropriate for the project scope before work starts. Wisdom Ejuetami Designs will only start working on the Client's project once the deposit invoice has been paid. Once work on the project starts, Wisdom Ejuetami Designs will send further invoices according to the Service Level Agreement Contract terms. Wisdom Ejuetami Designs reserves the right to stop working on a client project if any invoice is not paid according to the invoice payment terms and only start working on the project again once the invoice has been paid

Delivery and Revisions

Wisdom Ejuetami Designs will initially submit deliverables to Clients in preview form for the Client to review and approve or make any suggestions for revisions which Wisdom Ejuetami Designs will work on as agreed in the Statement of Work before sending the invoice for payment. Once the client has given written approval of the deliverables in preview form, Wisdom Ejuetami Designs will send an invoice for payment. Once the Client has paid the invoice, Wisdom Ejuetami Designs will send the Client the deliverables in their final usable form

Cancellations

Both Clients and Wisdom Ejuetami Designs are able to cancel a project for any reason after it has started however the party who wishes to cancel must give written notice before cancelling. When a project is cancelled, Clients must pay a cancellation fee appropriate for the scope of the project according to the terms of the Service Level Agreement Contract. Wisdom Ejuetami Designs will invoice the Client for the cancellation fee once written notice has been given for the project cancellation.

Refunds

Wisdom Ejuetami Designs does not offer refunds for any Client projects. Instead, Clients are able to preview deliverables before paying for them to help ensure they are happy with the deliverables before paying for them. 

If a Client is not happy with the deliverables in preview form after any attempts by Wisdom Ejuetami Designs to implement revisions requested by the client as agreed on in the Statement of Work, the Client can cancel the project and pay the Cancellation fee according to the Service Level Agreement Contract terms instead of the full amount due for the final deliverables but the deliverables will not be released to the Client in their final usable form. If the Client wants the deliverables in their final usable form, the Client must give written approval for the deliverables in preview form instead of cancelling the project. Once the Client has given written approval for the deliverables in preview form, Wisdom Ejuetami Designs will invoice the Client for the deliverables in their final usable form according to the Service Level Agreement Contract terms and give the Client the deliverables in their final usable form after the invoice has been paid for them, then the project will end. 

If the Client wants additional changes to the project deliverables beyond the scope of the initial Statement of Work and Service Level Agreement Contract for the project, they can make a new project request for Wisdom Ejuetami Designs to implement the changes as part of a new Statement of Work and Service Level Agreement Contract.

Severability

This section deals with what happens if a portion of the General Terms and Conditions for the use of the services provided by Wisdom Ejuetami Designs is found to be unenforceable. If that's the case, the unenforceable portion will be changed to the minimum extent necessary to make it enforceable, unless that change is not permitted by law, in which case the portion will be disregarded. If any portion of the General Terms and Conditions for the use of the services provided by Wisdom Ejuetami Designs is changed or disregarded because it is unenforceable, the rest of the General Terms and Conditions for the use of the services provided by Wisdom Ejuetami Designs are still enforceable.

Governing Law and Jurisdiction

The laws of England govern the rights and obligations of the Client and Wisdom Ejuetami Designs (both contractual and non-contractual) under the General Terms and Conditions for the use of the services provided by Wisdom Ejuetami Designs, without regard to conflict of law principles. The courts of England shall have exclusive jurisdiction in determining any dispute (whether contractual or non-contractual) under or in connection with the General Terms and Conditions for the use of the services provided by Wisdom Ejuetami Designs.
